Terms of Use

1. Acceptance of Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you and Apex (“we”, “us”, “our”) regarding your use of the Apex mobile application (“App”). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree with these Terms, do not use the App.

2. Description of Service

Apex is a mobile fitness application that allows users to track workouts, log gym check-ins, monitor step counts, build streaks, and set weekly fitness goals. The app integrates with Apple Health (iOS) and Google Health Connect (Android), and uses location services to enhance the user experience. The app also includes social features allowing users to connect with friends and view each other's fitness progress.

3. Eligibility

You must be at least 13 years of age (or the applicable age of digital consent in your jurisdiction) to use this App. By using the App, you represent and warrant that you meet this age requirement. If you are under 18, you represent that you have obtained parental or guardian consent to use this App.

4. User Accounts

  • You must create an account to use Apex. You are responsible for maintaining the security of your account credentials.
  • You must provide accurate and complete information during registration and update such information to maintain its accuracy.
  • You are responsible for all activity that occurs under your account.

5. License Grant and Restrictions

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on devices you own or control, solely for your personal, non-commercial use. This license does not transfer any ownership rights to you and may be revoked at any time if you violate these Terms.

You agree NOT to:

  • Modify, reverse-engineer, decompile, disassemble, or create derivative works of the App.
  • Remove, alter, or obscure any proprietary notices from the App.
  • Use the App for any illegal, harmful, or unauthorized purpose.
  • Attempt to gain unauthorized access to any part of the App or its systems.
  • Use automated scripts, bots, or similar tools to access the App.
  • Interfere with or disrupt the App's functionality or servers.
  • Sell, rent, lease, sublicense, or transfer your rights to use the App.
  • Impersonate any person or entity or falsely represent your affiliation.
  • Upload or transmit viruses, malware, or other malicious code.

6. User Content & Social Conduct

You retain ownership of any content you create within the App, including workout names, notes, bios, and profile pictures. By submitting content, you grant Apex a non-exclusive, royalty-free license to store and display this content as part of the service.

When using social features, you agree not to harass, impersonate, or abuse other users. Apex reserves the right to remove content or restrict accounts that violate these guidelines.

7. Health Disclaimer

THE APP IS NOT INTENDED TO PROVIDE MEDICAL, MENTAL HEALTH, OR THERAPEUTIC ADVICE. Apex is a fitness tracking tool and the content provided is for informational purposes only. It is not a substitute for professional medical guidance, diagnosis, or treatment. Always consult a healthcare professional before beginning any exercise program. We are not liable for any injuries or health issues resulting from exercise activities tracked through the App.

8. Third-Party Services

Apex integrates with and relies on third-party services including Clerk (authentication), Supabase (database), Google APIs (gym search and maps), Expo (notifications), PostHog (analytics), and Sentry (error tracking). We are not responsible for the availability, accuracy, or content of third-party services. Your use of these services is governed by their respective terms and privacy policies.

9. Intellectual Property

The App, including all content, features, functionality, software, design, text, graphics, logos, and underlying technology, is owned by Apex and is protected by copyright, trademark, and other intellectual property laws.

Trademarks: The name “Apex,” the Apex logo, and all related branding are trademarks of Apex. You may not use, reproduce, or display these trademarks without our prior written consent.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Warranties regarding accuracy, reliability, or completeness of content.
  • Warranties that the App will be uninterrupted, secure, or error-free.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, we shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, data, goodwill, or other intangible losses, even if we have been advised of the possibility of such damages.

Our total liability to you for all claims arising out of or relating to these Terms or your use of the App shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

12. Modifications to the App

We reserve the right to modify, suspend, or discontinue the App (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the App.

13. Termination

We may terminate or suspend your access to the App immediately, without prior notice or liability, if you breach these Terms. You may stop using the App at any time. You can permanently delete your account and all associated data directly from within the app by navigating to Settings > Delete Account. Account deletion is immediate, irreversible, and removes all user-generated content from our servers.

Upon termination:

  • All licenses granted to you will immediately terminate.
  • You must cease all use of the App and delete it from your devices.
  • Your personal data will be removed in accordance with our Privacy Policy.
  • Provisions that by their nature should survive termination shall survive, including intellectual property, warranty disclaimers, and limitations of liability.

14. Feedback

We welcome feedback, comments, and suggestions for improvements to the App (“Feedback”). If you submit Feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our products and services without restriction or compensation.

15. Apple and Google Specific Terms

If you access the App via Apple's App Store, you acknowledge that:

  • These Terms are between you and Apex, not Apple.
  • Apple has no obligation to provide maintenance or support services for the App.
  • Apple is not responsible for addressing any claims relating to the App.
  • Apple is a third-party beneficiary of these Terms and may enforce them.

If you access the App via Google Play, you agree to Google Play's Terms of Service in addition to these Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the App shall be resolved in the courts of competent jurisdiction.

17. Changes to Terms

We may revise these Terms from time to time. The “Last updated” date at the top indicates when they were last revised. Material changes will be notified through the App. Continued use of the App after changes become effective constitutes acceptance of the revised Terms.

19. Acknowledgment

BY USING THE APP, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF USE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE APP.
